General Meetings
Pursuant to the Swedish Companies Act, the general meeting is the company’s highest decision-making body. At the general meeting, shareholders exercise their voting rights on key matters, such as the adoption of the income statement and balance sheet, appropriation of the company’s profit or loss, discharge from liability for the board members and the CEO, election of board members and auditors, and determination of remuneration to the board of directors and the auditors.
The annual general meeting must be held each year within six months of the end of the financial year. In addition to the annual general meeting, extraordinary general meetings may be convened when necessary.
Shareholder Initiatives
A shareholder who wishes to have a matter addressed at a general meeting must submit a written request to the board of directors. The request must be received by the company no later than seven weeks prior to the general meeting, or in sufficient time for the matter to be included in the notice of the meeting.
